Introduction and Acceptance These Terms and Conditions ("Terms") govern your use of the Google Reviews Reply Automation Service ("The Service") provided by Hakim Nasser Alkafah ("Provider," "we," "us," or "our"). By accessing, purchasing, or using The Service, you ("User," "Client," or "You") agree to be bound by these Terms. If you do not agree to these Terms, you must strictly stop using The Service immediately. 2. Nature of The Service The Service is a software automation tool designed to assist businesses in drafting and/or posting replies to Google Business Profile reviews. Assistive Tool Only: The Service is intended to act as an assistant to human judgment. It is not a substitute for human customer service management. No Affiliation: We are an independent software provider and are not affiliated with, endorsed by, or sponsored by Google LLC or its affiliates. 3. Disclaimer of Warranties ("As Is") THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, THE PROVIDER EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO: Accuracy: We do not warrant that the reply suggestions generated by The Service will be accurate, appropriate, tone-perfect, or error-free. Outcomes: We make no representations or warranties regarding the results of using The Service. We do not guarantee improved SEO rankings, higher star ratings, customer retention, or positive business sentiment. Availability: We do not guarantee that The Service will be uninterrupted, secure, or free from bugs or viruses. 4. Absolute Limitation of Liability THIS SECTION IS CRITICAL. PLEASE READ CAREFULLY. To the maximum extent permitted by applicable law, Hakim Nasser Alkafah shall NOT be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to: Reputational Damage: Loss of goodwill, negative business reputation, or "review bombing" resulting from replies posted via The Service. Financial Loss: Loss of profits, revenue, sales, or data. Platform Bans: Suspension, restriction, or banning of your Google Business Profile or Google account due to the content of replies or the frequency of automation. Customer Reactions: Any adverse reaction, lawsuit, or complaint from your customers arising from a reply generated or posted by The Service. Review Responsibility: You acknowledge that you are solely responsible for reviewing, editing, and approving all content before it is posted to the public. If you choose to use "fully automated" features (auto-posting without review), you assume 100% of the risk associated with the content posted. In no event shall the Provider’s total cumulative liability to you exceed the amount paid by you to the Provider for The Service during the one (1) month period immediately preceding the event giving rise to the claim. 5. User Conduct and Acceptable Use You agree to use The Service only for lawful business purposes. You are strictly prohibited from: Abuse of Automation: Using The Service to generate spam, repetitive content, or irrelevant replies that violate Google’s Prohibited Content policies. Illegal Content: Using The Service to generate or post content that is hateful, harassing, defamatory, fraudulent, obscene, or incites violence. Reverse Engineering: Attempting to decompile, reverse engineer, or copy the underlying workflow, logic, or code of The Service. Reselling: Selling, renting, or sub-licensing The Service to third parties without our express written consent. 6. Indemnification (Holding You Accountable) You agree to indemnify, defend, and hold harmless Hakim Nasser Alkafah, his officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from: Your Use of The Service: Any activity, content, or reply generated or posted through your account. Violation of Terms: Your violation of any provision of these Terms. Violation of Rights: Your violation of any rights of another party, including your customers or Google LLC. Negligence or Misconduct: Any willful misconduct, fraud, or negligence by you or anyone using your account. Basically: If you use our tool to do something that gets us sued or causes us financial loss, you are responsible for paying our legal bills and damages. 7. Third-Party Platforms (Google) The Service relies on the availability of Google’s platforms and APIs. We are not responsible for changes to Google’s API, Terms of Service, or algorithms that may render The Service temporarily or permanently non-functional. We are not liable if Google flags your activity as "automated behavior" and penalizes your listing. You operate at your own risk regarding third-party compliance. 8. Termination We reserve the right to terminate or suspend your access to The Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use The Service will immediately cease. 9. Governing Law and Dispute Resolution These Terms shall be governed by and construed in accordance with the laws of Michigan, USA, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Dearborn, MI, and the parties hereby consent to personal jurisdiction and venue therein. 10. Changes to Terms We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Continued use of The Service after any such changes constitutes your acceptance of the new Terms.
